IMPORTANT — PLEASE READ CAREFULLY. These Terms contain a mandatory binding arbitration clause and class action waiver (Section 18). By using BaZiWar, you waive your right to a jury trial and your right to participate in any class action lawsuit against LUXEY HOLDINGS LLC.
These Terms of Service ("Terms") govern your access to and use of the BaZiWar mobile application and any related services, content, features, or functionality (collectively, the "Service") operated by LUXEY HOLDINGS LLC ("LUXEY HOLDINGS," "Company," "we," "our," or "us"), a California limited liability company.
By downloading, installing, creating an account, or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms in their entirety, you must immediately cease all use of the Service and delete the application from your devices.
You must be at least 17 years of age to use BaZiWar. By using the Service, you represent and warrant that: (a) you are at least 17 years old; (b) you have the legal capacity to enter into a binding contract; (c) your use of the Service does not violate any applicable law or regulation; and (d) if you are accepting these Terms on behalf of a legal entity, you have the authority to do so.
If you are under 17 years of age, you are expressly prohibited from using the Service. We do not knowingly collect information from individuals under 17. If we discover that a user is under 17, we will immediately terminate their account and delete associated data.
You are solely responsible for maintaining the confidentiality of your account credentials, including your password, and for all activity that occurs under your account, whether authorized by you or not. You agree to notify us immediately at support@baziwar.com if you suspect any unauthorized access to or use of your account.
You agree to provide accurate, current, and complete information when creating your account and to update such information as necessary to keep it accurate. You may not impersonate any person or entity, misrepresent your affiliation with any person or entity, or use a username that is offensive, vulgar, or otherwise objectionable at our sole discretion.
We reserve the right to suspend, disable, or permanently terminate your account at any time, for any reason or no reason, with or without notice, including if we believe you have violated these Terms, any applicable law, or if your continued use creates legal risk for us or others.
BaZiWar is a strategic intelligence, self-development, and lifestyle application grounded in the BaZi Four Pillars of Destiny, a traditional Chinese metaphysical system that uses a person's birth date and time to generate a symbolic chart. The Service includes, without limitation:
The features, content, and availability of the Service may change at any time without notice. We reserve the right to modify, suspend, discontinue, or restrict access to any part of the Service at any time, for any reason, without liability to you.
BaZiWar is strictly an entertainment, self-reflection, and educational application. Nothing in this application constitutes, or is intended to constitute, professional advice of any kind. By using the Service, you expressly acknowledge and agree to each of the following:
4.1 BaZi is Not a Predictive Science. The BaZi Four Pillars system is a traditional Chinese philosophical and metaphysical framework, not a scientifically validated predictive system. BaZi readings, chart analyses, element interpretations, luck pillar calculations, and any other outputs generated by or within the Service are symbolic, interpretive, and illustrative in nature. They are not factual predictions, guarantees, or assessments of any real-world outcome. No representation is made that any interpretation reflects or will reflect actual future events, personal circumstances, health, finances, relationships, or any other aspect of your life. You acknowledge that outcomes described in BaZi readings may or may not correlate with real events, and that correlation, if observed, does not imply causation or validate the system.
4.2 Not Legal Advice. Nothing in the Service constitutes legal advice, legal counsel, or a lawyer-client relationship. Do not rely on any content generated by the Service for any legal decision, legal strategy, litigation, contract negotiation, employment matter, immigration matter, or any other matter with legal consequences. Consult a licensed attorney for legal guidance.
4.3 Not Financial or Investment Advice. Nothing in the Service constitutes financial advice, investment advice, tax advice, accounting advice, or a recommendation to buy, sell, or hold any security, asset, cryptocurrency, or financial instrument. Do not rely on the Service for financial planning, investment decisions, retirement planning, debt management, or any other financial matter. Consult a licensed financial advisor, CPA, or investment professional.
4.4 Not Medical or Health Advice. Nothing in the Service constitutes medical advice, clinical diagnosis, health assessment, mental health treatment, therapeutic counseling, or a doctor-patient relationship. BaZi element theory (e.g., associations between elements and bodily systems) is folk tradition and has no scientific basis. Do not use the Service to make decisions about medications, treatments, surgeries, mental health care, reproductive health, or any other medical matter. Consult a licensed physician, mental health professional, or other qualified healthcare provider.
4.5 Not Psychological or Relationship Advice. Nothing in the Service constitutes psychological counseling, psychotherapy, clinical advice, or relationship therapy. Assessments of compatibility, personality, behavioral tendencies, or relationship dynamics generated by the Service are symbolic interpretations, not clinical evaluations. Do not rely on the Service when making decisions about intimate relationships, marriage, divorce, child custody, or mental health. Consult a licensed therapist, psychologist, or counselor.
4.6 Not Spiritual Direction. The BaZi system is rooted in traditional Chinese folk cosmology. BaZiWar does not represent, endorse, or promote any religion, spiritual doctrine, or metaphysical belief system as factual or superior to others. The Service is offered as a cultural and self-reflective tool. We make no claims about the spiritual accuracy, metaphysical validity, or cosmic truth of any content generated by the Service.
4.7 AI Outputs Are Not Reliable. BaZiWar uses artificial intelligence (specifically OpenAI's GPT-4 family of models) to generate personalized analysis, coaching responses, strategic frameworks, and mission reports. AI-generated content may be inaccurate, incomplete, inconsistent, or entirely wrong. AI outputs are generated probabilistically and do not reflect human judgment, professional expertise, or verified facts. LUXEY HOLDINGS LLC makes no representations about the accuracy, reliability, or completeness of any AI-generated content. You assume full and sole responsibility for any actions taken based on AI-generated content.
4.8 Target Profile Responsibility. The "Target" feature allows you to enter birth data for other individuals for the purpose of generating symbolic BaZi analyses. You represent and warrant that: (a) you have a legitimate, lawful purpose for entering any third party's birth data; (b) you have obtained any necessary consent from the individual whose data you enter; (c) you will not use Target profile data to harass, stalk, defame, threaten, or harm any individual; and (d) LUXEY HOLDINGS LLC bears no responsibility whatsoever for your use of Target profile features or for any harm arising from your use of outputs generated from Target profiles. You indemnify and hold LUXEY HOLDINGS LLC harmless from any claim arising from your use of the Target feature.
You agree that you are solely responsible for your conduct on the Service and for all content you submit, post, transmit, or otherwise make available through the Service. You agree not to use the Service to:
We reserve the right, but not the obligation, to monitor content on the Service. We may, at our sole discretion and without prior notice, remove content that violates these Terms or that we find objectionable for any reason, and may suspend or terminate the account of any user who violates these Terms or who engages in conduct we determine to be harmful to the Service, other users, or third parties.
BaZiWar provides messaging, community rooms, and social features. You understand and agree that:
BaZiWar offers optional paid subscription plans. Purchases may be processed by Apple Inc. (App Store), Google LLC (Google Play), or Stripe, Inc. (web checkout). All purchases are subject to the applicable platform's payment terms and refund policies. See our Billing & Subscriptions page for details.
The Service, including all content, software, design, algorithms, trademarks, trade names, logos, icons, text, graphics, and interfaces (collectively, "Company Content"), is owned by LUXEY HOLDINGS LLC or its licensors and is protected by United States and international intellectual property laws, including copyright, trademark, trade secret, and patent laws. Nothing in these Terms grants you any right, title, or interest in any Company Content.
You retain ownership of original content you create and post within the Service (e.g., personal messages, mission notes). By submitting content to the Service, you grant LUXEY HOLDINGS LLC a worldwide, non-exclusive, royalty-free, sublicensable license to store, display, reproduce, adapt, and deliver that content to the extent necessary to operate and improve the Service. This license does not grant LUXEY HOLDINGS LLC the right to sell your content to third parties.
We do not claim ownership of your birth data or personal birth information. Your BaZi chart data belongs to you.
Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our collection and use of your information as described in the Privacy Policy.
The Service integrates with third-party services including Supabase, Inc. (database and authentication infrastructure), OpenAI, LLC (AI processing), Apple Inc. (distribution and payments), and Google LLC (distribution and payments). Your use of these services is subject to their respective terms and privacy policies. LUXEY HOLDINGS LLC is not responsible for the acts, omissions, data practices, or service availability of any third-party provider. We do not endorse and are not liable for any content, products, or services offered by third parties linked to or accessible through the Service.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, LUXEY HOLDINGS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SUPPLIERS DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES. IN SUCH JURISDICTIONS, THE FOREGOING EXCLUSIONS APPLY TO THE FULLEST EXTENT PERMITTED BY LAW.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LUXEY HOLDINGS LLC, OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY:
IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO LUXEY HOLDINGS LLC IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100.00 USD).
THE LIMITATIONS IN THIS SECTION APPLY TO ALL THEORIES OF LIABILITY, INCLUDING CONTRACT, TORT, STRICT LIABILITY, NEGLIGENCE, AND STATUTORY CLAIMS, EVEN IF LUXEY HOLDINGS LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF LIABILITY FOR CERTAIN TYPES OF DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.
You expressly acknowledge and assume all risks associated with: (a) your use of the Service and reliance on any content generated by the Service; (b) decisions you make based on BaZi readings, AI coaching, strategic outputs, or any other content provided through the Service; (c) your interactions with other users through the Service's messaging, community, and social features; (d) your use of the Target profile feature, including any legal, personal, or relational consequences; and (e) any technical failures, data loss, service interruptions, or security incidents affecting the Service.
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless LUXEY HOLDINGS LLC and its officers, directors, members, employees, contractors, agents, licensors, suppliers, and successors in interest from and against any and all claims, demands, actions, liabilities, losses, damages, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:
We reserve the right to assume exclusive control of any matter subject to indemnification by you, at your expense. You agree to cooperate fully with our defense of any such claim.
LUXEY HOLDINGS LLC shall not be liable for any delay, failure in performance, or interruption of service resulting directly or indirectly from circumstances beyond our reasonable control, including but not limited to: acts of God; natural disasters; pandemics or public health emergencies; war, terrorism, or civil unrest; government actions, regulations, or orders; labor disputes; failure of third-party infrastructure, networks, or services (including cloud providers, payment processors, or AI providers); internet outages; cyberattacks; or power failures.
These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions or the United Nations Convention on Contracts for the International Sale of Goods. Subject to the mandatory arbitration provisions in Section 18, you consent to the exclusive personal jurisdiction and venue of the state and federal courts located in Sacramento County, California for any dispute not subject to arbitration.
ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED. This limitation applies regardless of any statute of limitations that might otherwise apply.
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
18.1 Agreement to Arbitrate. You and LUXEY HOLDINGS LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Privacy Policy, or the Service — including questions about the existence, validity, interpretation, breach, or termination of these Terms — shall be resolved exclusively through binding individual arbitration, rather than in court, except as provided in Section 18.5.
18.2 Arbitration Rules. Arbitration shall be administered by JAMS (Judicial Arbitration and Mediation Services) under its Streamlined Arbitration Rules and Procedures (for claims under $250,000) or Comprehensive Rules (for claims of $250,000 or more), as applicable, and as modified by these Terms. Arbitration shall be conducted by a single neutral arbitrator in Sacramento, California, or, at your election, via videoconference. The arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this Agreement, including whether any claim is subject to arbitration.
18.3 Arbitration Costs. For claims under $10,000, LUXEY HOLDINGS LLC will pay all JAMS filing, administration, and arbitrator fees, unless the arbitrator finds your claim frivolous. For claims between $10,000 and $75,000, filing fees will be split equally. For claims over $75,000, JAMS fee schedules apply. Each party bears its own attorneys' fees and costs unless the arbitrator determines the claim or defense was frivolous or brought in bad faith.
18.4 CLASS ACTION WAIVER. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND LUXEY HOLDINGS LLC EACH WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION, REPRESENTATIVE ACTION, CONSOLIDATED ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR ANY OTHER PROCEEDING IN WHICH EITHER PARTY ACTS OR PROPOSES TO ACT IN A REPRESENTATIVE CAPACITY. The arbitrator may not consolidate your claim with those of any other person or entity, and may not preside over any form of representative or class proceeding. If this class action waiver is found to be unenforceable, then the arbitration agreement in this Section 18 shall be null and void as to that claim.
18.5 Exceptions to Arbitration. Either party may bring an individual action in small claims court (Sacramento County, California) if the claim qualifies. Either party may also seek a temporary restraining order or preliminary injunctive relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration, without waiving the right to arbitrate the underlying dispute.
18.6 Opt-Out. You may opt out of this arbitration agreement by sending written notice to support@baziwar.com within thirty (30) days of first accepting these Terms. Your notice must include your full name, email address, and a clear statement that you opt out of the arbitration agreement. If you opt out, all disputes will be subject to the jurisdiction and venue provisions of Section 16.
18.7 Survival. This Section 18 shall survive termination of these Terms.
We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last updated" date at the top of this page, posting a notice within the app, or by other appropriate means. It is your responsibility to review these Terms periodically. Your continued use of the Service after changes take effect constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service.
For existing arbitration agreements: if we materially change the arbitration provisions of Section 18, you have thirty (30) days from the date of notice to opt out of the new arbitration terms by emailing support@baziwar.com.
We may suspend, limit, or terminate your access to the Service at any time, for any reason, with or without notice, including but not limited to your violation of these Terms, conduct that we determine poses a legal risk to us or other users, or discontinuation of the Service. Upon termination, your license to use the Service ceases immediately. You may terminate your account at any time by contacting us at support@baziwar.com or using the in-app account deletion feature. Termination does not entitle you to a refund of any fees paid. Sections 4, 8, 11, 12, 13, 14, 16, 17, 18, and 21 survive termination of these Terms.
Entire Agreement. These Terms, together with the Privacy Policy and any additional terms presented to you for specific features, constitute the entire agreement between you and LUXEY HOLDINGS LLC regarding the Service and supersede all prior agreements, understandings, representations, and warranties, whether oral or written, relating to the Service.
Severability. If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.
Waiver. Our failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce that provision in the future. No waiver by LUXEY HOLDINGS LLC of any breach or default shall be effective unless made in writing and signed by an authorized representative of LUXEY HOLDINGS LLC.
Assignment. You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. LUXEY HOLDINGS LLC may freely assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law, without your consent.
No Third-Party Beneficiaries. These Terms are for the benefit of you and LUXEY HOLDINGS LLC only. Nothing in these Terms creates any right or benefit for any third party.
Notices. All notices to LUXEY HOLDINGS LLC under these Terms must be sent by email to support@baziwar.com or by mail to the address in Section 22. We may provide notices to you via the email address associated with your account, through in-app notifications, or by other means.
Electronic Acceptance. You acknowledge that these Terms are entered into electronically and that your use of the Service constitutes your electronic signature and acceptance of these Terms, which is as binding as a written signature.
